（1）要约邀请是一种意思表示，故应具备意思表示的一般成立要件； （2）要约邀请的目的在于诱使他人向自己发出要约，而非与他人订立合同，故只是订立合同的预备行为，而非订约行为；
（3）要约邀请只是引诱他人发出要约，既不能因相对人的承诺而成立合同，也不能因自己作出某种承诺而约束要约人，行为人撤回其要约邀请，只要没有给善意相对人造成信赖利益的损失，一般不承担法律责任。
二、简答（每题10分，共40分）
1．法律关系及构成要素
法律关系是在法律规范调整社会关系的过程中所形成的人们之间权利与义务 关系。如企业与职工依法订立劳动合同后，就构成了双方的劳动法律关系。法律关系由法律关系主体、法律关系内容（权利义务）和法律关系客体三要素构成。
三步审查法律关系：第一步：检查立案案由与争诉事实是否一致；第二步：区分同一诉讼中涉及的多种法律关系； 第三步：确定法律关系产生的影响。
2．抵押担保与质押的区别
（1）担保物的种类不同。抵押物的范围比较广泛，一般都是不动产。而质押物一般仅限于动产和财产权利。
（2）是否转移占有权不同。抵押人对抵押物的占有权不发生转移，仅是将该物的交换价值提供给抵押权人。质押是转移质押物占有权的一种担保方式。
（3）登记手续不同。考虑到抵押物的占有权不发生转移，〈担保法〉设立了抵押物登记制度。质押中，由于移交质物本身已经具有了公示的功能，一般不必登记。
（4）设置次数不同。在抵押担保中，可以在同一担保物上设置两个以上的抵押权。在质押担保中，一物只能设立一个质押权。
（5）收取孳息不同。抵押人在抵押期间可以收取抵押物的孳息，质权人对质物享有占有权和收益权。
3．票据的伪造与变造的区别
票据的伪造，是指假冒他人的名义实施票据行为的行为。票据伪造的成立须具备两个条件：
(1)必须是伪造者实施票据行为，如实施出票行为、背书行为、承兑行为、保证行为等，如果实施的行为并非票据行为，则不构成票据伪造。
(2)必须是假冒他人的名义实施票据行为，如模仿他人签名，伪刻他人印章，盗用他人真正印章等。例如，甲盗窃了其单位乙的支票，并私刻了印章，以乙的名义签发一张支票。甲将这张支票交给了收款人丙，丙又将该支票背书转让给了丁。丁持该支票向代理付款银行请求付款。银行发现出票人的印鉴和银行预留的印鉴不符而拒绝付款，引起纠纷。这里甲私自偷盗公司的支票，并且私刻了印章，在其票据上记载了金额、收款人、日期并且盖上了印章，则该行为已构成了出票的行为。但是，甲所加盖的印章并不属于其所有，甲也并不打算要承担票据上的法律责任。只是盗用了乙的名义作出了出票的行为，因此甲的行为属于票据的伪造。
票据的变造，是指没有变更权限的人，变更票据上记载的除签章之外的事项的一种行为。应当符合下列三个条件：
(1)变造的票据是合法成立的有效票据；
(2)变造的内容是票据上所记载的除签章以外的事项。如果变更票据上的签章，则属于票据的伪造；
(3)变造人无变更权。票据经过变造后，该票据仍然有效。变造的票据虽然为有效票据，但变造票据的行为是一种违法行为，变造票据的人应承担法律责任。《票据法》第103条规定，伪造、变造票据或故意使用伪造、变造票据的，应依法追究刑事责任。
关于变造票据的后果。对持票人来讲，因其所持票据上存在瑕疵，其票据权利的实现会受到一定的影响，根据《票据法》规定，可以总结为以下几点：
(1)如果当事人的签章在变造之前，应当按照原记载的内容负责；如果当事人的签章在变造之后，则应当按照变造后的记载内容负责。如果无法辨别签章发生在变造之前还是之后，视同在变造之前签章；
(2)尽管变造的票据仍然有效，但变造人的行为给他人造成经济损失的，应当对此承担民事责任，构成犯罪的，依法承担刑事责任；
(3)变造人可能签章，也可能不签章，但无论是否签章，均应承担法律责任。
4．特殊普通合伙企业不承担无限连带责任条件
在特殊的普通合伙企业中，一个合伙人或数个合伙人在执业活动中因故意或者重大过失造成合伙企业债务的，应当承担无限责任或者无限连带责任，其他合伙人则仅以其在合伙企业中的财产份额为限承担责任。这与普通合伙企业是不同的，在普通合伙企业中，合伙人即使是基于故意或者重大过失而给合伙企业造成债务，在对外责任的承担上依然是由全体合伙人承担无限连带责任，尽管对内其他合伙人可以追索有过错的合伙人，而在特殊的普通合伙企业中，出现由于个别合伙人的故意或者重大过失而导致的合伙企业债务时，没有过错的其他合伙人只以其份额承担对外责任，当其他合伙人的份额不足以赔偿时，债权人只能追索有过错的合伙人。当然，若特殊普通合伙企业的合伙人并非因为故意或者重大过失而导致合伙企业的债务，此种情形下与普通合伙企业一样，应当由全体合伙人承担无限连带责任。
特殊的普通合伙企业的合伙人在因故意或者重大过失而造成合伙企业债务时，首先以合伙企业的财产承担对外清偿责任，不足时由有过错的合伙人承担无限责任或者无限连带责任，没有过错的合伙人不再承担责任。当以合伙企业的财产承担对外责任后，有过错的合伙人应当按照合伙协议的约定对给合伙企业造成的损失承担赔偿责任。
三、案例（每题15分，共30分）
1．答：（1）丁无权代位行使甲在合伙企业中的权利，只能以甲从合伙企业分得收益清偿债务或要求人民法院强制执行甲在合伙企业中的财产份额。
（2）甲认为应按合伙协议约定按照出资比例分享收益和负担亏损，不承担超出其出资部分的责任。这不能得到人民法院支持。根据合伙企业法，普通合伙人对合伙企业债务承担无限连带责任，B银行可以要求任一普通合伙人清偿合伙企业不能清偿的债务。
（3）“乙认为其已经退伙，不再承担责任”不合理。普通合伙人退伙的，对于基于退伙前原因产生的合伙企业债务应承担无限连带责任。
（4）“戊认为其入伙前A企业向B银行借款，其不承担责任”不合理。根据规定，新入伙的普通合伙人对于入伙前的合伙企业债务承担无限连带责任。
